a. Permitted Use

The Service allows you to create event listings, set ticket prices and types, manage ticket sales, track attendance, and communicate with Attendees. You may use the Service solely for lawful purposes and in accordance with these Terms.

b. Prohibited Use

You agree not to use the Service to:

  • Create fraudulent, misleading, or deceptive event listings.

  • Sell tickets to events that violate any applicable law or regulation.

  • Interfere with or disrupt the Service or servers or networks connected to the Service.

  • Use the Service to collect personal data of Attendees for purposes unrelated to the event.

  • Resell, sublicense, or otherwise make the Service available to third parties.

4. Event Listings and Content
a. Accuracy of Listings

You are solely responsible for the accuracy and completeness of your event listings, including but not limited to the event name, description, date, time, location, pricing, and any age or entry restrictions. Ticxz does not verify the information you provide and shall not be liable for any inaccuracies.

b. Content Guidelines

All Content you upload must comply with applicable laws and must not contain material that is defamatory, obscene, discriminatory, or otherwise objectionable. You must have all necessary rights and permissions for any Content you upload.

c. Right to Remove

Ticxz reserves the right to remove or disable access to any event listing or Content that, in our sole discretion, violates these Terms or may expose Ticxz to legal liability. We will make reasonable efforts to notify you before or promptly after taking such action.

5. Fees and Payments
a. Service Fees

Ticxz charges a service fee for each ticket sold through the Service. The current fee structure is published on our pricing page. You may choose to absorb the service fee or pass it on to the Attendee as part of the ticket price.

b. Payment Processing

All payments are processed through Stripe, Inc. To receive payouts, you must complete the Stripe onboarding process and maintain a valid, connected Stripe account. By using the Service, you agree to Stripe's Connected Account Agreement and applicable terms.

c. Payouts

Ticket sale proceeds, minus applicable Ticxz service fees and Stripe processing fees, will be paid out to your connected Stripe account according to the payout schedule configured in your Stripe settings. Ticxz is not responsible for delays caused by Stripe or your financial institution.

d. Fee Changes

Ticxz reserves the right to modify its fee structure at any time. We will provide at least 30 days' notice of any fee changes via email or through the dashboard. Continued use of the Service after a fee change constitutes acceptance of the new fees.

6. Refunds and Cancellations
a. Refund Policy

As the Organizer, you are responsible for setting and communicating a clear refund policy for each of your events. You must honor the refund policy you have published. Ticxz will process refunds to Attendees only upon your instruction and authorization.

b. Event Cancellations

If you cancel an event, you are solely responsible for providing full refunds to all Attendees who purchased tickets. You must notify Ticxz of the cancellation immediately so that we can assist in processing refunds. Failure to refund Attendees for cancelled events may result in suspension or termination of your account.

c. Event Postponements

If you postpone or reschedule an event, you must promptly communicate the new date to all Attendees. You must offer refunds to Attendees who are unable to attend the rescheduled event, in accordance with your published refund policy.

7. Data and Privacy
a. Attendee Data

Through the Service, you will have access to personal data of Attendees who purchase tickets to your events, including names and email addresses. You may use this data solely for the purpose of managing your event and communicating event-related information to Attendees.

b. Data Protection Obligations

You agree to comply with all applicable data protection laws and regulations, including the General Data Protection Regulation (GDPR). You are an independent data controller for the Attendee data you access through the Service and are responsible for your own compliance obligations.

c. Restrictions on Data Use

You must not sell, rent, or otherwise share Attendee personal data with third parties for purposes unrelated to the event. You must not use Attendee data for unsolicited marketing unless the Attendee has given explicit consent. A breach of these restrictions may result in immediate termination of your account.

8. Intellectual Property
a. Your Content

You retain all ownership rights to the Content you upload to the Service. By uploading Content, you grant Ticxz a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your Content solely for the purpose of operating and promoting the Service and your events.

b. Ticxz Platform

The Service, including all software, design, text, graphics, and other materials created by Ticxz, is the exclusive property of Ticxz B.V. and is protected by intellectual property laws. Nothing in these Terms grants you any right to use Ticxz's trademarks, logos, or branding without prior written consent.

10. Termination
a. Termination by You

You may stop using the Service and close your account at any time by contacting us at support@ticxz.com. Termination does not relieve you of any obligations related to pending or completed ticket sales, including refund obligations.

b. Termination by Ticxz

Ticxz may suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or if your use of the Service poses a risk to Ticxz, other users, or third parties.

Upon termination, your right to use the Service ceases immediately. Any pending ticket sales will be handled on a case-by-case basis. Ticxz may retain your data as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will remain in effect.
